Client Terms & conditionsThis AGREEMENT is made effective immediately between Lemon Group International Ltd (hereinafter referred to as the “Lemon Group International Ltd") and you the client (hereinafter referred to as the “Client”) who has accepted the terms and conditions of this agreement. WITNESSETH: In consideration of the respective covenants contained herein, the parties hereto, intending to be legally bound hereby, agree as follows: 1.Performance. Generally, described as the performance of the model during an event 2.Model. The person who will be hired to perform 3.Scope of Agreement. The Client engages Lemon Group International Ltd to supply them with the Model to provide services for the performance. 4.Fee. The payment made by the client, for the Model services provided during the performance, to Lemon Group International Ltd. THE TERMS AND CONDITIONS BELOW ARE AN INTEGRAL PART OF THIS CONTRACT.1.Client agrees that any engagements offered, negotiated and booked on behalf of the Model, for the performance, shall be through Lemon Group International Ltd and not through the client or any other third party upon the signing of this contract. 2.This Agreement shall be personal to the parties and shall not be transferable or assignable by operation of or otherwise without the prior written consent of Lemon Group International Ltd. The obligations imposed by this agreement shall be binding upon the parties. 3.All agreements must be made in writing. 4.This agreement has no termination date and cannot be cancelled 5.Client warrants that all equipment for the performance is in good working order, and fit for its purpose, and that no part of the performance is likely to be a danger to the Model or any other person/s. Client warrants that they have obtained and will maintain comprehensive general and public liability insurances to cover all activities undertaken by the Model during the performance. 6.Client at the time of agreeing to these terms shall not be under any contract to the model 7.Client shall make all payments to Lemon Group International Ltd within 30 days of the performance. If a model is booked but the performance is cancelled then the client will be liable to 100% of the fee if less than 72 hours notice is given. If more than 72 hours notice is given then no fee is due. 8.Client agrees that they cannot approach Lemon Group International Ltd models independently of Lemon Group International Ltd, i.e. to bypass Lemon Group International Ltd in order to negotiate directly. If Lemon Group International Ltd has knowledge of the client hiring a model directly then Lemon Group International Ltd will invoice the client for the full fee as if Lemon Group International Ltd had provided that model. The payment would be due within 30 days of date of invoice. Client agrees to make the payment in this regard. 9.This agreement shall be governed by English Law and the High Court of Justice in England shall be the court of exclusive jurisdiction. |
