MODEL TERMS & CONDITIONSThis AGREEMENT is effective from point of registration and is made by and between Lemon Group International Ltd (hereinafter referred to as the “Lemon Group International Ltd") and the subscriber accepting this agreement (hereinafter referred to as "MODEL"). WITNESSETH: In consideration of the respective covenants contained herein, the parties hereto, intending to be legally bound hereby, agree as follows: The following definitions apply in this Agreement. 1. Client. Any company which is directly introduced to MODEL via AIM and which is not already known to MODEL or his affiliates. Introduction can be made via email, telephone or physical meeting. 2. Performance.. A successfully completed transaction between MODEL and an Introduced Client introduced to MODEL by AIM in connection with any activities 3. Fee. A percentage of the payment made by the client for the performance subject to a minimum 20% 4. Payment. The amount paid by the Client to MODEL for the Performance after deduction of all expenses incurred by MODEL in relation to the Performance. 5. Term. This Agreement is indefinite THE TERMS AND CONDITIONS BELOW ARE AN INTEGRAL PART OF THIS AGREEMENT.1. This Agreement provides AIM with permission to refer Clients to MODEL for public relations activities during the Term in accordance with the terms of this Agreement. It is not limited to Clients who were not already known to MODEL or their affiliates prior to the date of the introduction. 2. Any Performances during the Term will entitle AIM to the Fee which shall be paid by MODEL or client to AIM within 30 days of receipt by MODEL of the Payment and upon production of an invoice from AIM. No Fee shall be payable in the event that MODEL does not receive Payment. 3, MODEL agrees that any engagements offered, negotiated and booked on behalf of the Clients introduced by AIM, shall be undertaken through AIM and not through any other third party. MODEL cannot engage client directly for the term of this agreement. If such an event occurs the MODEL and client will be liable for the fee, depending on whether payment has been made to the MODEL or not, irrespective of whether AIM was involved in the transaction or not. 4. This Agreement shall be personal to the parties and shall not be transferable or assignable. The obligations imposed by this Agreement shall be binding upon the parties. 5. All variations to this Agreement shall be made in writing signed by both parties. 6. AIM warrants that no part of the Performance will be a danger or damaging to MODEL or their public image and/or reputation. AIM warrants that prior to any Performance it shall procure and guarantee that the Client has obtained and will maintain comprehensive general and public liability insurances to cover all activities undertaken by or on behalf of the Client in connection with the Performance. 7. MODEL is not party to any contract with any third party that might preclude them from fulfilling the engagement herein. 8. AIM may terminate this Agreement during the Term in the event of a breach of the terms of the Agreement by the MODEL. 9. MODEL is responsible for their own personal Taxes & N.I. contributions. 10. This Agreement shall be governed by English Law and the English courts shall have exclusive jurisdiction in respect of any disputes concerning this Agreement. |
